$774 is our fee to create your Arizona limited partnership, which includes all formation costs. The fee includes the following services:
1. 1. Unlimited telephone calls with Arizona LP attorney Richard Keyt about forming and operating the LP,
2. 2. We get the employer identification number (EIN) from the IRS, but if no partner has a U.S. social security number or ITIN the IRS requires one of the partners to call the IRS to get the EIN
3. 3. We prepare a custom Limited Partnership Agreement. This is the LP's governing document digitally signed by the partners using DocuSign,
4. 4. Statutory agent service ($99 value). After the first year our statutory agent fee is $99/year payable in advance,
5. 5. Address service so the LP will have an Arizona address ($100 value). After the first year our address service is $100/year payable in advance.
6. 6. We prepare a Certificate of Limited Partnership,
7. 7. We hand file the Certificate of Limited Partnership with the Arizona Secretary of State (SoS),

About Partners of the Limited Partnership*

A limited partnership must have at least one Limited Partner and one General Partner. The Limited Partners will own up to 99% of the partnership interests and the General Partner must own at least 1%. If the LP has more than one Limited Partner each Limited Partner will own part of the 99% of the partnership interests. Because the General Partner is liable for the debts and obligations of the LP, an entity that does not have substantial assets should be the General Partner. If you have such an entity it can be the General Partner. If you do not have an entity you can use you should hire us to form an Arizona limited liability company that will be the General Partner.

The Bipartisan Budget Act of 2015 made major changes to the way the IRS audits LLCs taxed as partnerships. One of the changes requires that partnerships name a person who has a substantial presence in the United States to be the partnership's Partnership Representative. If the LP is audited the IRS will only deal with the Partnership Representative.
