We prepare a 35 page Operating Agreement for one owner LLCs and LLCs owned by a married couple. We also prepare a 60 page Operating Agreement for multi-member LLCs other than a married couple owned LLC.

All Owners Digitally Sign the LLC’s Operating Agreement.  A day or two after we form your LLC we will cause DocuSign to send an email to all of the LLC’s owners and managers asking them to digitally sign the LLC’s Operating Agreement.  When everybody has signed DocuSign will send each signer an email that has the fully signed Operating Agreement attached as a pdf file.

  8. Do-It-Yourself LLC Legal Audit. My do-it-yourself Arizona LLC Legal Audit contains 83 questions, 32 tasks and 29 alerts. The answer to a question determines if a task or alert will appear. Tasks are things the LLC or its owners should accomplish. Whenever a task displays, it has a detailed explanation of how to accomplish the task. If a task is particularly important there will be an alert that explains why the task is so important and should be accomplished as soon as possible.
  9. Anti-Theft Provision.  Our Operating Agreement contains language that allows the other members of the LLC to buy out the interest of a member for a nominal amount if the member steals from the company.
  10. Anti-False Document Filing Provision. To discourage a member from filing an amendment to the LLC’s Articles of Organization with the Arizona Corporation Commission that improperly removes a member as a member or manager of the LLC the Operating Agreement contains language that imposes a $10,000 fine on a member who files a false document with the ACC.

Anti-False Articles of Termination Filing Provision.  If a member causes Articles of Termination to be filed with the Arizona Corporation Commission without the approval of the required number of members the Operating Agreement contains language that imposes a $10,000 fine on a member who files false Articles of Termination with the ACC.
  12. Anti-Unauthorized Signer on LLC Bank Account. Our multi-member Operating Agreements contain a provision that says that a member who becomes a signer on the LLC’s bank account or causes a signer on the LLC’s bank account to be removed will be liable for $10,000 liquidated damages.
